First Party \ JOYA System, represented by Selat Technology Company
Second Party \ Merchant

Whereas the First Party owns the website www.joyaksa.com and the JOYA e-commerce and social applications, and whereas the Subscriber owns a commercial business and wishes to offer its services, products, and shopping vouchers through the First Party’s platform, the Second Party hereby agrees to this Agreement electronically.

1- The First Party shall provide its services to the Second Party through the application, including enabling ordering, rating, sharing, earning shopping points to be used as discounts, gifting to application users, and other services and features available on the application.

2- The Second Party shall be obligated to accept orders, gifts, moments, and vouchers through the business application provided by the First Party and to provide them to application users. The Second Party also agrees to accept the discount rate applicable to application users (customers), which is calculated based on points collected by users through the application and system.

3- The Second Party shall ensure that the prices of its products listed on the application are consistent with the prices offered to customers in other stores, in the interest of customers.

4- The First Party grants the Second Party direct access to its product list displayed on the platform without referring to the First Party, for the purpose of modifying or updating product lists and shopping vouchers. In such cases, the First Party shall not be responsible for any errors resulting from modifications or updates made by the Second Party.

5- The Second Party shall immediately refund the Amount of the sold product to the application user in case of cancellation, unavailability, or inability to provide the product through the system. Cash refunds are not permitted. The First Party shall carry this out on behalf of the Subscriber by crediting the customer’s account or compensating the customer within the platform in the form of discount points equal to the refunded amount.

6- The Second Party shall be solely responsible and obligated to comply with all applicable laws, regulations, systems, standards, and criteria in the Kingdom of Saudi Arabia, such as those related to the preparation, safety, and components of products, as well as the sale and marketing of such products. The First Party shall not be obligated or responsible for any products provided by the Second Party that are spoiled, unfit, cause harm to others, are unacceptable to the customer, or otherwise do not meet the customer’s expectations.

7- The First Party reserves the right to amend the terms of this Agreement or add new terms in the future, with notification to the Second Party.

8- Service Fees:
8.1- Gifts, moments, and vouchers (per completed transaction): The First Party’s agreed commission percentage will be deducted.

9- The First Party shall transfer the sales proceeds due to the Second Party, after deducting the First Party commission, the bank fees associated with payments made through the platform, and the First Party’s applicable fees, within one week - or according to a schedule agreed with the Second Party following completion of financial settlements.

10- Application users shall make payments through the payment gateway available within the application.

11- To ensure the provision of the best services to customers through the JOYA platform, the Second Party commits to providing services to JOYA customers promptly. In the event of failure, the Second Party shall compensate the customer with a gift from its products through the platform.

12- The term of this Agreement shall be one (1) year commencing from the date of electronic acceptance of this Agreement, and it shall be automatically renewed unless either party notifies the other otherwise at least sixty (60) days prior to the expiration of the Agreement.

13- The addresses stated in this Agreement shall be considered the official correspondence addresses for both parties. Any changes must be communicated to the other party in writing via email.

14- The First Party shall have the right to access the Second Party’s account on the platform for monitoring or modification purposes, when necessary, in the event of errors or data requiring adjustment.

15- This Agreement shall be governed by the laws of the Kingdom of Saudi Arabia. Any dispute arising between the parties shall be resolved amicably within a maximum period of fifteen (15) days. If no amicable resolution is reached, the dispute shall be referred to the competent courts, and the courts of the Kingdom of Saudi Arabia shall have exclusive jurisdiction.

16- JOYA Company utilizes a registered patent license in the name of the application founder, registered with the United States Patent and Trademark Office under Patent No.: US 10,614,443 B1.
